MANAGEMENT

Jim Bailey, age 64, is the Chief Executive Officer of West River. 

            Mr. Bailey has devoted most of his 43 year business career to negotiating and completing sports, real estate and other complex business transactions.  For twenty-one of those years (from 1978 until 1999) he served as Executive Vice President of the Cleveland Browns and Baltimore Ravens National Football League franchises.  In that capacity, he was responsible for all the business, financial and legal operations of those teams, including the relocation of the Cleveland Browns’ franchise to become the Baltimore Ravens in 1996. 

            As the chief business administrator of those organizations, Mr. Bailey directed a staff of more than 100, obtained and managed all financing for the teams, and negotiated player contracts.  He was the team’s primary liaison for understanding and implementing the NFL Player Salary Cap when that system was implemented in 1994, and developed a thorough grasp of the Cap and its impact on team operations.  He also was responsible for negotiating the leases of the teams’ stadiums and other facilities as well as all contracts pertaining to stadium and facility operations.  As a result, Mr. Bailey developed and has maintained a comprehensive understanding of sports and sports facility economics and financing. 

During Mr. Bailey’s tenure with the Browns/Ravens, he led the effort to develop a financial and political model to obtain a sorely needed new or renovated stadium for the Browns in Cleveland. When those efforts proved fruitless, he successfully led the relocation of the Browns from Cleveland to Baltimore, including negotiating the terms of the lease for a new stadium to be constructed in Baltimore and obtaining NFL approval.  In Baltimore, he oversaw the design and managed the construction process for the new stadium and supervised the value engineering required for the completion of the stadium project on time and within its $220 million budget.

While with the Browns/Ravens, Mr. Bailey was responsible for the procurement and management of all financing for the organization, including the structuring and procurement of $185 million of financing for the Ravens (then an NFL record) to comply with complex NFL debt limitation requirements.  He also negotiated the terms, procured financing and obtained all governmental approvals for a state-of-the-art Training and Office Facility for the Browns in suburban Cleveland.  That facility was financed by bonds making the first use of tax increment financing (“TIF”) in the state of Ohio.

After his tenure with the NFL teams, Mr. Bailey became the Chief Executive Officer of Manchester Resorts, a San Diego based resort and hotel developer and operator.  In that capacity he directed operations of its flagship property, the Manchester Grand Hyatt hotel in downtown San Diego, as well as the development of all new properties.  Those efforts included obtaining a $230 million financing for the construction of a 750 room expansion tower to the Manchester Grand Hyatt, successfully ending a five year effort and several previous unsuccessful attempts to procure such financing.  At the time that financing was the largest non-subsidized financing backed by a single asset in the United States during the previous five years.  With Manchester, Mr. Bailey also led the efforts to obtain entitlements for a beachfront resort in Oceanside, California, and the completion of construction and opening of a lakefront resort in McCall, Idaho.  In addition, Manchester Resorts owned and managed office buildings which fell under Mr. Bailey’s purview.

In 2001, Mr. Bailey left Manchester Resorts to return to the sports industry.  He established a consulting practice serving clientele in the sports business, including both team owners and local authorities, primarily in connection with the construction and financing of new or renovated venues – stadiums, ballparks and arenas.  Such consulting assignments typically involve an assessment of the financial and practical feasibility of the project and the governmental and political forces impacting the project, as well as cost and constructability evaluations, the means of financing the project, and the process through which the project may be achieved most effectively.   Mr. Bailey undertook such consulting assignments both on his own behalf as well as in conjunction with Brailsford & Dunlavey (B&D), the partner of West River Holdings LLC in the current undertaking. 

Mr. Bailey consulted with the San Diego Chargers (also an NFL franchise) in their initial efforts to obtain a new stadium.  After this initial consultation with the Chargers, he was engaged by the San Diego International Sports Council to study and recommend possible sites for such a new stadium, the scope of the construction project and, most important, the means to finance the project.  To undertake that assignment, Mr. Bailey partnered with B&D.  In concert, they created a model for the development of a 160-acre mixed-use urban village, the commercial value of which would be captured and applied to the cost of a new football stadium for the Chargers.  This model included an evaluation of recommended sites, establishment of design concepts, a study of economic impacts and an in-depth financial analysis of the selected sites which Mr. Bailey formally presented to the Mayor’s Task Force on Chargers Issues and which formed the basis for their recommendation.

Mr. Bailey’s affiliation with B&D has continued in connection with many other consulting projects.  As project executive for B&D, he led the negotiation and financing for a new ballpark in downtown Nashville, Tennessee for the Nashville Sounds (AAA affiliate of the Milwaukee Brewers), including ancillary residential and commercial development to support the cost of the project.  In addition, he served as project executive on a study for a University of Minnesota/Minnesota Vikings joint-use football stadium on the U of M campus in Minneapolis, He also worked on the team that developed a management review and business plan for the L.A. Memorial Coliseum for the University of Southern California, including consideration of combining operation of the Coliseum with the University’s new basketball arena, the Galen Center.  Mr. Bailey also led a feasibility study for a new hockey arena in suburban Seattle, Washington. 

Mr. Bailey consulted with B&D in connection with the efforts by the D.C. Sports and Entertainment Commission to attract the Washington Nationals and B&D’s engagement to provide program management services for the design and construction of the new major league baseball park in Washington, D.C.  And, he was the primary liaison for B&D with Mandalay Baseball Properties in its efforts to establish new Minor League baseball parks in various communities, including substantive involvement in Erie, Pennsylvania; Evansville, Illinois; Holyoke, Massachusetts; Tallahassee, Florida; and Wilmington, North Carolina. Mr. Bailey also was engaged to and did develop a Financial Model for the City Norfolk, Virginia seeking to attract a Major League Baseball franchise.  He has also been engaged as an expert by the District of Columbia Sports & Entertainment Commission in connection with the proper interpretation of their lease with the Washington Nationals, and presently is serving as an expert witness in litigation involving the appropriate Federal taxation of a transaction for financing the Honda Center, the home arena of the Anaheim Ducks NHL team.

Prior to embarking on his career in the NFL, Mr. Bailey practiced law in Cleveland, Ohio for seven years, where he specialized in real estate and complex business transactions.  Among the projects he worked on was the acquisition and development of what had been the Union Terminal Train Station in downtown Cleveland, involving the reassembly of 33 acres of real estate that had been the subject of the first air rights division of real estate in the nation.  Mr. Bailey was responsible for negotiating and documenting the acquisition, obtaining clear title, negotiating altered operating arrangements with the public rail transit systems, mediating a dispute between the railroad and the city over responsibility for deteriorated bridges and obtaining the approval of the Penn Central bankruptcy court. 

 Mr. Bailey received his Bachelor of Science degree in 1968 from Florida State University (where he had been recruited to play football by Coach Bobby Bowden).  In 1971, he graduated from the University of Michigan Law School with a Juris Doctorate.  He has served on the San Diego Chamber of Commerce CEO Roundtable and on the Board of Visitors of Towson University.  He also served on the Boards of the Discover Berea Chamber of Commerce, the NFL Alumni Browns’ Chapter and the Maryland Chapter of the Cystic Fibrosis Foundation.  Mr. Bailey was also on the Boards of Directors of the companies that owned the Cleveland Browns and Baltimore Ravens NFL Franchises, as well as the Board of Directors of Cleveland Stadium Corp.  Among the honors received by Mr. Bailey are the Pro Recognition Award from the Cleveland Touchdown Club, induction into the Sports Hall of Fame in Clinton County, Ohio, membership in Leadership Cleveland, and the University of Michigan Law School Order of the Coif (scholastic honorary).

Christopher S. Dunlavey is the President of Brailsford & Dunlavey Inc. (See company description below), an equity owner of the General Partner. In addition, Mr. Dunlavey will be a member of the Board of Managers of the General Partner and will be appointed Vice President of the General Manager.

In 2005, Mr. Dunlavey was named by Street & Smith's Sports Business Journal as one of the "Forty under 40" as among the most innovative and influential executives in the sports business industry. As President of B&D, Mr. Dunlavey has co-directed the development of the firm's practice since its founding in 1993.

His background reflects experience in a variety of capacities within the building industry, including feasibility consulting, project management and architectural design. Before founding B&D, he was a project manager with MPC Associates, prior to which he practiced architecture with Skidmore, Owings & Merrill in New York.

Today, Mr. Dunlavey specializes in managing the development of university and municipal "quality of life" facilities, including sports and recreation facilities, housing and student and community centers. He has lectured and written extensively on the feasibility analysis, financing, programming, design and construction of such facilities.

Mr. Brailsford is co-founder and CEO of Brailsford & Dunlavey. He started his career as a real estate economist specializing in urban mixed-use, hotel, resort and residential projects. Later, he turned his focus toward facility planning within the non-profit sector. Applying a market-driven approach to the development of auxiliary facilities, such as student housing, campus unions, and recreation, intercollegiate, and professional sport facilities, he developed a national reputation as an innovator in the application of market and financial analysis to the programming and development of such facilities.

Mr. Brailsford is a nationally recognized expert in the financing and programming of sports, recreation and entertainment venues and has provided planning and management services for hundreds of clients.

Known for his unique quantitative approaches, Mr. Brailsford has shared his experiences and ideas through over 50 industry presentations and articles. He has presented on various topics at national conferences and symposiums including Society of College & University Planners, Harvard Graduate School of Design, National Association of College & University Business Officers, Athletic Business, National Intramural Recreational Sports Association, National Association of Collegiate Auxiliary Services, Association of College & University Housing Officers-International, and Council for Urban Economic Development.

Dan Kromer, age 50, is the Chief Financial Officer of West River.

Mr. Kromer, has a diverse background, having owned and operated a number of small to medium sized businesses throughout the Midwest. Prior to 2004, Mr. Kromer founded a software marketing company that was taken over by a much larger organization, thereby allowing Mr. Kromer to retire. Since then he has devoted his energies to his private investment portfolio and various real estate holdings, including residential, commercial, and farm properties in Florida and Ohio.

In 2004 Mr. Kromer took over the reins of LaSalle Holdings LLC, an Ohio based advisory firm that focused on private project development and acquisitions. In 2007 he helped merge LaSalle with West River Holdings LLC.

Mr. Kromer has advised such diverse organizations as Brunswick Billiards, The All American Football League, Galloway Brothers Farm Cooperative, Timberlake Christian Fellowship, Eastern University, LRM Risk Management, Industrial Nut and Supply, and a number of small local organizations in Ohio. He possess significant background and expertise in corporate finance; securities and investments (including portfolio and cash flow management, portfolio development, trading strategies, and various hedging techniques utilized by both individual and institutional investors); coordination of the preparation of disclosure documents such as feasibility reports, business plans, sales and marketing plans, and other documents used in conjunction with corporate presentation; and real estate property development and management.

Gary Verrill, age 52, is charged with coordinating West River's ventures into the entertainment industry. Mr. Verrill, currently listed in Who's Who in Entertainment in America, and is a graduate of the University of Miami.

 In 1974 he began his career as the Musical Director for the Fontainebleau and Diplomat Hotels in Miami Beach, Fl. In the fall 1975 Mr. Verrill was asked to be the musical director for the “Up With People” program that performed at the 1976 Super Bowl, 1976 United States Bicentennial Celebration, and the July 4th Washington, Philadelphia, and 1976 Kentucky Derby.

In 1978, as a contestant on ABC television’s “America Votes for Tomorrow’s Stars” he became the grand champion winner. Thereafter he had notable performances on The Tonight Show, the Merv Griffin Show, and the Mike Douglas Show. In addition he performed in the Rainbow Room, NY City, the MGM Grand in Las Vegas, and the Cleveland Front Row Theater.

After spending a year touring with the world famous Steve Miller Band in 1983, he became the musical director/composer/arranger for The Music Source (recording facility) in Seattle, WA. During this time he orchestrated projects that included the 1984 Olympic fanfare package for NBC, the Boeing Industrial marketing films, the Anchorage and British Colombia tourism films, and the musical score for the popular and highly acclaimed "Over Washington" and "Over British Columbia" video series broadcast on the National Public Broadcast Station (PBS).

In 1998 Mr. Verrill left The Music Source to independently score 6 major musicals, serve as musical director for a number of performing artists including Denise Williams, Roby Duke, Ricky Scaggs, and the Maranatha Singers, and score the soundtracks for “McGiver”; “Beverly Hills 90210”; “Northern Exposure”; Magnum PI, and various Aaron Spelling Entertainment projects. Mr. Verrill also served as the musical director for the Billy Graham and Franklin Graham Crusades from 1998 to 2003.

 Mr. Verrill currently advises a number of individuals and organizations including Willow Community Church in Chicago, one of the nation’s largest mega churches, Cirque du Solei in Las Vegas and Montreal, and Timberlake Community Fellowship in Seattle. In addition he is advising Paul Allen's Vulcan Inc., who is actively developing a $200 million high tech entertainment venue in Seattle. Gary is also developing a series of live stage plays that will begin touring the country in 2011, and is actively coordinating West River's entrée into the film industry.

Charles Kreider, age 64, is a board member of a number of non-profit institutions and is a primary contact for West River’s charitable ventures.

 In 1966 he graduated from the St. Joseph Hospital of Respiratory Therapy (Lancaster, PA) with honors and founded a department of Respiratory Therapy at Lancaster Osteopathic Hospital. In 1968, Mr. Kreider was hired by St. Joseph Hospital as Technical Director of Respiratory Therapy as well as academic and clinical instructor for the School of Respiratory Therapy. In 1969, he co-founded Lancaster County Respirator Service, a company which provided respiratory therapy services to patients in the home. He sold his share of that business to the other partners approximately 20 years later.

In 1971, Mr. Kreider purchased Breathing Services, Inc., a company that sold, rented and serviced Respiratory Therapy equipment and supplies to hospitals and home care patients in Central Pennsylvania. That business grew over the years to include all of Pennsylvania, New Jersey and Delaware. In 1992, he purchased M & P Medical (Orchard Park, NY), another company which sold respiratory care products in the upper state New York area.

In 1996, Mr. Kreider sold Breathing Services and M & P Medical and was retained as Vice President of Technology. The company was merged with eleven other similar companies all across the country to form Critical Care Concepts. It was Mr. Kreider’s responsibility to combine the data from all their computers onto one central computer network. By the end of 2001 his services were no longer needed and he retired.

While owning and managing his Respiratory companies Mr. Kreider acquired his Airline Transport Pilot license and multi-engine and instrument ratings. He used corporate airplanes in the course of business and after his retirement he flew Angel Flights and used his airplane to travel to meetings and transport others to meetings.

 Since his retirement he invested in a variety of business endeavors as a silent partner or banker but kept his time available for boards and committees of non-profit organizations.
